RelyCart™ is designed for small to medium sized companies with fewer than
10,000 distinct products for sale. Merchant customers license RelyCart for use
on their website. The cost for licensing is based on the number of products that
the merchant has in the RelyCart database. Volume pricing discounts may apply.

| Retail: |

The cost of $10.00 per license unit is the retail cost. The retail cost is
charged to shopping cart customers who are purchasing the product standalone for
use on their website. |
| Client: |
|
The cost of $7.50 per license unit is the suggested client cost. The client
cost is what webhosting customers served by an ISP with a server license are
charged. The client cost is what KSOFTTECH will charge its webhosting customers. |
| Wholesale: |
|
The cost of $5.00 is the wholesale cost. The wholesale cost is charged to
resellers who are reselling standalone retail versions of the shopping cart. |
| Server: |
|
The cost of $3.75 per license unit is the server license cost. The server
license cost is charged to ISP's who are offering the shopping cart as a service
offering to their customers. An unlimited server license may be purchased for
$250/month and serves all customers on a particular server. An unlimited
enterprise server license (for all servers owned by company) is available for
$2,000/month. Enterprise license does not cover company-owned servers leased out
to others. |
Of the revenue generated by licensing fees, 30% is overhead to cover
bookkeeping, accounting, marketing, and technical and customer support for the
product. The 30% overhead is broken down as follows:

administrative overhead and customer support. This is used by the
company to cover administrative costs in bookkeeping, billing, billing customer
relations, collections, managing and disbursing shared profits and providing
customer and technical support for product. The 10% administrative overhead is
ALWAYS collected by KSOFTTECH. |
| 20% |
|
marketing overhead. This is used to cover expenses in researching and
marketing the product to prospective merchant and ISP customers. Part or all of
this overhead may be paid out to companies or individuals who market the product
independently. |
The remaining 70% of revenue is profit to be shared among the product
shareholders.
